Terms of Service

Effective Date: June 13th, 2025

These Terms of Service (the "Terms") form a legally binding agreement between you ("you" or "User") and [Company Legal Name] ("Company," "we," "our," or "us") regarding your access to and use of the [Add-on Name] Google Workspace add-on (the "Add-on"). By installing, enabling, or using the Add-on, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not install or use the Add-on.

Important Note: This Add-on is independently developed by Company. It is not provided by, affiliated with, or endorsed by Google LLC. Use of Google services is governed solely by Google's own terms.

1. Eligibility and Authority

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) and able to form a binding contract to use the Add-on. If you are using the Add-on on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of the Add-on

The Add-on integrates with Google Sheets to provide spreadsheet-processing features such as data cleaning, transformation, and reporting (the "Services"). Specific functionality may change from time to time as we improve the Add-on.

3. License and Acceptable Use

We grant you a personal, non-exclusive, non-transferable, revocable license to use the Add-on solely for lawful purposes and in accordance with these Terms and all applicable laws. You agree not to:

  1. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas of the Add-on.
  2. Use the Add-on to create or facilitate malware, spam, or unauthorized data scraping.
  3. Circumvent or interfere with security or usage-limit features.
  4. Misrepresent the origin of any data processed by the Add-on.
  5. Use the Add-on in a manner that violates Google Workspace Marketplace policies or Google API Services User Data Policy.

4. Your Data & Privacy

  1. Data Access. With your permission, the Add-on may access the Google Sheets files you select. We access only the minimum scopes required to provide the Services.
  2. Data Processing. Data is processed in memory and transiently stored only as necessary to fulfill the operation requested. Unless explicitly stated, we do not permanently store spreadsheet content on our servers.
  3. Data Security. We employ industry-standard technical and organizational measures to protect data against unauthorized access, alteration, or disclosure.
  4. Privacy Policy. Please review our separate Privacy Policy (available at [link]) for details on how we collect, use, and protect personal data.

5. Third-Party Services

The Add-on may call Google APIs or third-party APIs. Your use of those services is subject to each provider's separate terms. We are not responsible for third-party services.

6. Intellectual Property

The Add-on and all related content, features, and functionality (including but not limited to software, text, images, and design) are owned by Company or its licensors and are protected by intellectual-property laws. All rights not expressly granted to you are reserved by Company.

7. Feedback

Any feedback or suggestions you provide may be used by us without restriction or compensation to you. You grant us a perpetual, irrevocable, royalty-free license to use, reproduce, and incorporate your feedback into our products and services.

8. Disclaimer of Warranties

THE ADD-ON AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE ADD-ON WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL COMPANY OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED FIFTY U.S. DOLLARS (US $50) OR THE AMOUNT ACTUALLY PAID BY YOU FOR USE OF THE ADD-ON IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold harmless Company and its affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Add-on or violation of these Terms.

11. Modifications to the Add-on and Terms

We may update the Add-on or these Terms at any time. We will notify you of material changes via the Google Workspace Marketplace, in-Add-on notices, or on this web page. Your continued use after changes become effective constitutes acceptance of the revised Terms.

12. Suspension and Termination

We may suspend or terminate your access to the Add-on at any time for any reason, including if we reasonably believe you have violated these Terms. Upon termination, Sections 6-14 survive.

13. Governing Law and Venue

These Terms are governed by the laws of France without regard to its conflict-of-laws rules. Any dispute arising from these Terms shall be resolved exclusively in the courts located in Paris, France and you consent to the personal jurisdiction of such courts.

14. Export Compliance

You may not use or export the Add-on except as authorized by French law and the laws of the jurisdiction in which the Add-on was obtained.

15. Entire Agreement & Severability

These Terms constitute the entire agreement between you and Company regarding the Add-on and supersede all prior agreements. If any provision is held invalid, the remaining provisions remain in full force and effect.
